INTRODUCTION

The Yami Dance Shoes Brand Ambassador Program (the “Program”) is a legally binding contract between you (“Brand Ambassador,” “you,” or similar terms) and Yami Dance Shoes, LLC (“Yami Shoes,” “us,” “we,” or similar terms). By participating in the Program, you agree to comply with these Terms & Conditions and any subsequent modifications. Your continued participation in the Program following any updates constitutes your acceptance of the revised terms. Failure to adhere to these terms may result in termination from the Program and loss of commissions.

1. ELIGIBILITY

To participate in the Yami Dance Shoes Brand Ambassador Program, you must:

• Be at least 18 years of age or have parental consent if under 18.

• Maintain active social media accounts on at least two of the following platforms:

  • Instagram (Minimum 1,000 followers)

  • Facebook (Minimum 1,000 followers)

  • TikTok (Minimum 1,000 followers)

• Have demonstrable engagement on your social media accounts.

• Possess a valid PayPal account for receiving commissions.

• Submit a signed 1099 form prior to receiving any commission payments.

• Discount code websites are strictly prohibited. Only social media and dance-specific websites are permitted.

• Meet our content quality and engagement standards as determined by Yami Shoes.

• Yami Shoes reserves the right to decline any applicant at our sole discretion.

Failure to Meet Eligibility Criteria:

Yami Shoes reserves the right to terminate any account that fails to maintain eligibility or comply with these terms. You will be notified of termination via your registered email.

2. PARTICIPATION REQUIREMENTS

By participating in the Program, you agree to:

• Promote Yami Dance Shoes with honesty and integrity.

• Adhere to all applicable local, state, and federal laws.

• Use only authorized promotional materials provided by Yami Shoes.

• Clearly disclose your affiliation with Yami Shoes in every post, as required by the FTC Endorsement Guidelines.

• Not engage in any misleading or deceptive practices.

• Ensure all content is appropriate and respectful and does not harm the reputation of Yami Shoes.

• Do not share or advertise your code on any official Yami Shoes social media pages or third-party retail sites.

3. COMMISSIONS & PAYMENTS

• Ambassadors will receive 10% commission on all eligible purchases made using their unique referral link.

• Commissions are calculated based on the net sale amount after discounts, taxes, and shipping.

• Payments are made via PayPal within 30 days following the end of each calendar month.

• Commissions are forfeited if fraudulent or unethical behavior is detected.

• Yami Shoes reserves the right to deny any transaction deemed fraudulent or suspicious.

Chargebacks and Refunds:

• If a customer cancels an order or initiates a return, the related commission will be deducted from your next payout.

4. PROHIBITED ACTIVITIES

The following practices are strictly prohibited and will result in immediate termination and forfeiture of all unpaid commissions:

• Cookie Stuffing: Embedding affiliate cookies without explicit customer interaction.

• Unauthorized Link Manipulation: Using plugins, browser extensions, or scripts to alter or redirect affiliate tracking.

• Posting on Yami Official Social Media: Sharing codes or links directly on Yami Shoes' social media platforms or official posts.

• Fraudulent Transactions: Generating fake sales or engaging in self-referral activities.

• Using Unauthorized Channels: Promoting through coupon sites or any non-approved platforms.

5. ACCOUNT TERMINATION

We reserve the right to terminate your participation in the Program at any time for any reason, including but not limited to:

• Breach of Terms: Violation of any clause within this agreement.

• Inactivity: Lack of sales or engagement over a period of 3 consecutive months.

• Reputational Harm: Conduct that damages the Yami Shoes brand or community.

• Fraud Detection: Engagement in deceptive or unethical marketing practices.

Termination Process:

• You will be notified via email of the termination and the reason for it.

• All pending commissions will be forfeited if termination is due to a breach of these terms.

6. BRAND REPRESENTATION & USAGE RIGHTS

• You must not present yourself as an employee or official representative of Yami Shoes.

• You may use only the approved branding and assets provided by Yami Shoes.

• Misrepresentation of your role or affiliation may result in termination.

7. LIABILITY & INDEMNIFICATION

• Yami Shoes shall not be held liable for any indirect, incidental, or consequential damages arising from your participation in the Program.

• You agree to indemnify and hold harmless Yami Shoes from any claims arising from your breach of this agreement, misuse of promotional materials, or any unlawful actions.

8. AMENDMENTS & MODIFICATIONS

Yami Shoes reserves the right to modify these terms at any time. Your continued participation after changes are posted constitutes your acceptance of the new terms. It is your responsibility to regularly review the terms to stay updated on any changes.
